These Terms of Service (“Agreement”) govern your access to and use of the Conviso event-driven messaging and analytics platform, including all associated APIs, SDKs, and data insights (the “Services”) provided by Codematic Labs Ltd d/b/a as Conviso (“ConvIso,” “we,” “our,” or “us”).
By activating an account or utilizing the Services, you (the “Customer”) agree to be bound by this Agreement. If you are an individual, you represent that you are at least 18 years of age. If you are entering into this Agreement on behalf of an entity, you represent that you have the legal authority to bind such entity. Your right to use the Services is void where prohibited by law.
This Agreement incorporates by reference the Conviso Privacy Policy, the Acceptable Use Policy (AUP), and any executed Service Orders. We may modify these terms at any time by posting updates to our site or notifying you via email. Continued use of the Services after such changes constitutes your acceptance of the revised terms.
1.1. Grant of Access: Conviso provides the Services solely for the Customer and its designated employees or contractors ("Authorized Users").
1.2. Scope of Service: The Services include tools for event-tracking, audience segmentation, and automated multi-channel messaging (Email, SMS, WhatsApp, Push). Conviso reserves the right to modify, suspend, or discontinue any feature or integration.
1.3. Service Availability: We make efforts to maintain 24/7 availability. Conviso is not liable for interruptions due to scheduled maintenance, emergency repairs, or telecommunication failures.
2.1. Ownership: Codematic Labs Ltd. retains exclusive ownership of the Conviso platform, including software, algorithms, AI models, and branding.
2.2. License Grant: We grant you a limited, non-exclusive, non-transferable, and revocable right to access the Services for internal business operations. You may not copy the platform, circumvent security measures, or reverse-engineer the Services.
We maintain a policy on terminating accounts of repeat infringers in accordance with the Nigerian Copyright Act and global digital standards.

4.1. Data Ownership: You retain all rights to the information you ingest or upload (e.g., recipient lists, message content) ("Customer Data"). You grant Conviso a global, royalty-free license to host, reproduce, and process this Data solely to provide and improve the Services.
4.2. Warranties: You warrant that you have the necessary rights to your data and that you will not contribute infringing, defamatory, illegal, or malicious content.
4.3. Data Protection: Both parties comply with the General Data Protection Regulation (GDPR) and the Nigeria Data Protection Act (NDPA). Handling of Personal Data is governed by a Data Processing Addendum (DPA).
Any feedback you provide is voluntary. Conviso owns all rights to such feedback and may use it for any purpose without obligation or compensation to you.
"Confidential Information" means non-public information disclosed by either party in connection with this Agreement. The receiving party must keep it strictly confidential and use it only to fulfill obligations under this Agreement.
Upon termination, the receiving party must delete or return Confidential Information within 60 days, except where retention is required by law.
7.1. Fees: You agree to pay fees according to each Service Order or your chosen plan. Fees are due at the start of the subscription period (monthly or annually).
7.2. Overages: Event volume or message counts that exceed plan limits will be billed at our then-current rates.
7.3. Payments: You must maintain valid payment information. Unpaid balances accrue interest at 1.5% per month. Failure to pay may result in immediate suspension of the Services.
7.4. Support: Email-based support is provided for paid subscriptions; we do not guarantee specific response times.
7.5. Free Trials: Any data uploaded during a free trial may be permanently deleted at the end of the trial unless a paid subscription is purchased.

Conviso may integrate with third-party software (for example, Stripe, Twilio, Infobip). These "Third-Party Services" are not operated by Conviso. We are not responsible for their performance, data handling, or security. Your use of such services is governed by your direct agreement with those providers.
10.1. Disclaimer: THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CONVISO DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
10.2. Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVISO IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR THE EQUIVALENT OF $100 USD (IN NGN), WHICHEVER IS GREATER.
You agree to indemnify and hold Conviso and Codematic Labs Ltd. harmless from any claims, damages, or legal fees arising from: (i) your use of the Services; (ii) your violation of this Agreement or the AUP; or (iii) any infringement claims related to your Customer Data.
This Agreement continues as long as you access the Services. You may terminate your subscription by providing written notice; however, you remain liable for all fees for the remainder of your current term. Conviso may terminate this Agreement immediately if you breach these terms, experience insolvency, or fail to pay fees. Upon termination, your right to access the Services and Data ceases immediately.
This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Agreement shall be settled by the competent courts located in Lagos State, Nigeria.
If any provision is found unenforceable, the remaining terms remain in effect. You may not assign this Agreement without our consent. We may publicly disclose your use of Conviso for marketing purposes (for example, including your logo on our site).
